Terms and Conditions – SECONI ApS

These Terms and Conditions apply to all agreements entered into with SECONI ApS, Kærvej 2, 8800 Viborg, CVR: 45556425.

Prices

All prices are exclusive of VAT and are invoiced either at the applicable hourly rate, a pre-agreed fixed fee, or through the use of prepaid clip cards. Unless otherwise agreed, the hourly rate is subject to annual adjustment on January 1.

Professional Liability

SECONI ApS maintains professional indemnity insurance with an annual coverage limit of DKK 2,000,000.
Any liability for professional advice shall in no event exceed the coverage provided under this insurance. SECONI ApS’ liability lapses two (2) years after completion of the assignment to which the error or omission relates.

Performance of Assignments

SECONI ApS undertakes to perform agreed assignments diligently, loyally, and solely in the interests of the client.
Within the scope of the agreement, SECONI ApS retains full discretion in planning and organizing the performance of the work, including determination of working hours and place of performance.
Nothing in the agreement restricts SECONI ApS’ right to provide services to other clients simultaneously.

Upon completion of the assignment, SECONI ApS shall:

  • Destroy all materials provided by the client, and
  • Deliver to the client all documentation, manuals, and related materials prepared by SECONI ApS in connection with the assignment, to which the client shall have full usage rights.

Unless otherwise agreed in writing, SECONI ApS retains all copyrights and other intellectual property rights to materials it produces.

Confidentiality

Both parties undertake to maintain confidentiality with respect to all non-public information and materials concerning the other party.

This duty of confidentiality shall remain in effect both during and after the completion of the assignment and the termination of the agreement.
